Affiliate Program Terms of Service

Welcome to GEM Supply's Affiliate Program! By participating in our affiliate program, you agree to the following terms and conditions. Please read this document carefully before you sign up or participate in the program. If you do not agree with these terms, you may not participate in the affiliate program.
1. **Enrollment and Participation:**
1.1. To join the affiliate program, you must complete the application on our website and receive approval from GEM Supply Co.
1.2. Participation is subject to approval and may be revoked at any time if you fail to comply with these terms.
2. **Affiliate Responsibilities:**
2.1. As an affiliate, you agree to promote GEM Supply Co., and its products/services using ethical and legitimate methods.
2.2. You will not engage in any deceptive, misleading, or unlawful marketing practices.
2.3. You are responsible for ensuring that your affiliate links are properly formatted and functional.
3. **Commissions and Payments:**
3.1. You will earn a commission for each qualifying sale made through your affiliate link.
3.2. Commissions will be paid on a monthly basis, subject to a minimum payout threshold of $10.
3.3. Commissions are paid in USD and will be paid via paypal.
3.4. In cases of refunds or chargebacks, commissions will be adjusted accordingly.
3.5. You are responsible for any taxes associated with your commissions.
4. **Prohibited Activities:**
4.1. You may not engage in any activities that violate intellectual property rights, including but not limited to trademark infringement or copyright violations.
4.2. You may not engage in spamming, unsolicited email marketing, or any other forms of intrusive promotion.
4.3. You may not bid on our branded keywords for search engine advertising without prior approval.
4.4. You may not use misleading or false information to attract customers.
5. **Term and Termination:**
5.1. This agreement will begin upon approval and will continue until terminated by either party.
5.2. Either party may terminate this agreement at any time, with or without cause, by providing written notice to the other party.
5.3. Upon termination, you will no longer be eligible to earn commissions for sales generated after the termination date.
6. **Modification:**
6.1. GEM Supply Co., reserves the right to modify these terms at any time. Affiliates will be notified of changes via email or through the affiliate portal.
6.2. Continued participation in the affiliate program after changes to the terms implies acceptance of the modified terms.
7. **Indemnification:**
You agree to indemnify and hold GEM Supply Co., harmless from any claims, damages, losses, or liabilities arising from your participation in the affiliate program.
8. **Governing Law:**
This agreement is governed by the laws of Florida. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts in Florida.
